Terms of Use
The following general terms of use apply in relation between Tenneco as provider of the Idea Management platform (“TIM Idea Management”) and the registered users and apply to all web-based offers of the platform as well as to the belonging sub-sites and additional sites and their offered services.
1. Description of the “TIM-Tenneco Idea Management” Service
1.1 Tenneco provides employees with a platform where users may submit, comment on, rate and view ideas. In accordance with their respective authorization level, users have access to ideas and other content. Users have access to their personal content (profile area) as well as to the public content of other members/groups.
1.2 Users have no possibility of influencing content outside of the normal mechanism. Any manipulation will lead to an exclusion from the platform (deactivation or deletion of the account). Therefore, Tenneco reserves the right to follow conspicuous actions.
1.3 Each virtual monetary unit distributed, i.e., points or similar, is only of a defined value within the platform. For normal users, there is no possibility of exchanging virtual monetary units (neither in the form of real monetary units, nor in the form of products/services). This applies to outside of the platform especially. Tenneco reserves the right to raffle gift prizes to users or to hold general free prize draws.
1.4 Tenneco furthermore reserves the right to change their offers, if necessary. In addition, Tenneco reserves the right to delete usernames and user accounts, key words (tags), pictures, comments, messages, URLs (links) and groups or to set them on private if they:
- include racist, sexist, insulting, slanderous, seditious, religiously offensive or threatening content.
- include criminally relevant content or violate legal regulations.
- are to be regarded as spam (see paragraph below about anti-spam).
- are misusing the name of a natural or legal person or otherwise legally protected names.
- are misusing messaging functions for spam, advertising or mass news.
2. Registration, Access
2.1 In order to use TIM-Tenneco Idea Management, a user account is necessary.
2.2 A user account is centrally created by Tenneco through registration after the available general terms of use have been accepted.
3. Users’ Rights and Obligations
3.1 Registered users are entitled to use all offers of TIM-Tenneco Idea Management extensively within the framework of the available terms of use.
3.2 While using TIM-Tenneco Idea Management, general legislation has to be followed. Users are particularly prohibited to make use of TIM-Tenneco Idea Management in order to:
- distribute illegal or otherwise defamatory or offensive material
- threaten or harass third parties or violate third parties’ rights (especially their personal rights, copyrights and other rights of industrial property protection)
- upload corrupted or otherwise defective data to Tenneco websites
- give false or misleading information about their person through registration, especially by registering using a false identity
3.3 Noncompliance with these codes of conduct authorizes Tenneco to delete or deactivate user accounts without notice or to permanently exclude users from using their account, regardless of any civil law and/or criminal law consequences. The nature of the sanction lies within Tenneco’s discretion.
4. Rights and Obligations of “TIM-Tenneco Idea Management”
4.1 Tenneco is not obliged to provide an offer that is always available as well as faultless in its usage. This especially applies if access to Tenneco’s offer is affected by malfunctions that are beyond Tenneco’s influence. Tenneco is furthermore authorized to temporarily interrupt or reduce their website’s accessibility for maintenance and modernization works at all times without prior notification.
4.2 Tenneco is authorized to provide third parties (i.e., law enforcement authorities, directly and indirectly affected parties and injured parties) with user data at their request if users perform criminally relevant acts (particularly such of pornographic or xenophobic content) as well as other violations of civil law, especially against trademark right, competition law or copyright.
4.3 Tenneco is authorized but not obliged to check all user contents (thereafter called “contents”) on their compatibility with the general law or the available terms of use and to deactivate or delete these contents at their own discretion in case a violation has been identified.
4.4 Registered users grant Tenneco the exclusively, temporally and spatially unrestricted right to make use of any of their content submitted to the platform (ideas, comments, images, sketches, designs, uploaded files etc., thereafter called “contents”) in any way. Tenneco is authorized to individually utilize single elements such as descriptions and content parts and to edit uploaded content as well as adapt these contents to their current business purposes. Tenneco is further authorized to register uploaded contents as a trademark or design for itself.
5. Guarantee and Liability
5.1 Tenneco does not guarantee that the websites made available are always available and free of any disturbances or that they are suitable for a specific purpose. This especially applies to access to Tenneco offers being disturbed or abolished due to disruptions outside of Tenneco’s are of influence.
5.2 Tenneco does not assume any warranty for user content and in particular is not obliged to monitor such content on any legal violation.
5.3 If any third party is making use of TIM-Tenneco Idea Management due to unlawful user content, the user responsible is obliged to release Tenneco from any responsibility and to reimburse Tenneco for all costs that arise from any legal prosecution.
5.4 Tenneco is liable
- for damages due to bodily injury, life or health that are based on any deliberate or negligent breach of duty by Tenneco, a Tenneco legal representative or a Tenneco vicarious agent;
- for damages covered by liability under the Product Liability Act;
- for any other damages based on any deliberate or negligent breach of duty by Tenneco, its legal representative or a Tenneco vicarious agent;
- for damages caused by ordinary negligence by Tenneco, as far as such negligence concerns the violation of essential contractual obligations (material contractual obligations). Material contractual obligations are those obligations that have to be granted to the contracting party by the contract according to its meaning and purpose or the fulfilment of which makes the proper execution of the contract possible in the first place and on the obeying of which the contractual partner may regularly rely. In these cases, however, Tenneco’s liability is limited to damages that are linked to the contract in a typical manner and therefore foreseeable;
5.5 Figure 5.4’s regulation includes all contractual and legal claims resulting from these terms of use.
